These Terms of Service ("Terms") govern your use of the Mechanics Alliance ("Alliance") website, services, and membership platform. Mechanics Alliance is operated by Commoner Apps LLC, a Texas limited liability company. By accessing or using our services, you agree to be bound by these Terms.
1. Agreement
By creating an account, purchasing a membership, or otherwise using Mechanics Alliance services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.
2. Eligibility
You must be at least 18 years old to use Mechanics Alliance services. By registering, you represent that you are at least 18 years old and that the information you provide is accurate and complete.
3. Account Registration
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information during registration.
- One account per individual or business. Multiple accounts may be terminated.
4. Membership Terms
Founding Member
Founding membership is free and limited to the first 100 qualifying members. Founding member status is permanent and non-transferable. Mechanics Alliance reserves the right to modify the founding member program terms with 30 days notice.
General Member
General membership is $99 per year, billed annually. Membership includes access to the resource library, contract and document templates, member newsletter, member badge, and vendor discount programs as partners onboard. Benefits are subject to change with 30 days notice to members.
Vendor Partner
Vendor Partner membership is revenue-tiered: $495/yr for companies with under $1M in annual revenue, $1,495/yr for $1M–$10M, $3,500/yr for $10M–$50M, and $7,500/yr for over $50M, billed annually. The first 25 Founding Vendors may lock $995/year for three years regardless of revenue tier. Vendor listings and benefits are subject to Mechanics Alliance approval and our vendor partner guidelines.
5. Payment & Refunds
- Payments are processed through our third-party payment processor.
- Annual memberships renew automatically unless cancelled before the renewal date.
- Refund requests within the first 30 days of a new membership will be honored in full.
- No prorated refunds after the 30-day period.
- You may cancel your membership at any time; it remains active until the end of the billing period.
6. Directory Listing
If you opt into the Mechanics Alliance member directory:
- You represent that your business information, certifications, and insurance status are accurate.
- Mechanics Alliance does not guarantee the accuracy of directory listings and is not liable for the work quality of listed mechanics.
- Mechanics Alliance reserves the right to remove listings that violate our guidelines or are reported for inaccurate information.
7. Content Guidelines
When participating in Mechanics Alliance community features (forums, Discord, comments), you agree not to:
- Post spam, solicitations, or irrelevant commercial content
- Harass, threaten, or demean other members
- Share false or misleading information about businesses or individuals
- Post content that infringes on intellectual property rights
- Violate any applicable laws or regulations
8. Intellectual Property
All Mechanics Alliance content — including guides, resources, branding, and educational materials — is owned by Mechanics Alliance and protected by copyright. Members may access and use resources for personal business use but may not redistribute, resell, or republish Mechanics Alliance content without written permission.
9. Member Resources and Document Templates
Mechanics Alliance provides guides, resources, and customizable document templates (including service agreements, fleet maintenance agreements, and demand letters) for general informational and educational purposes only. Mechanics Alliance is not a law firm, accountant, or insurance broker, and none of its guides, resources, or templates is legal, tax, financial, or professional advice. Accessing or using any Mechanics Alliance resource or template does not create an attorney-client or any other professional-client relationship.
Document templates are provided "as is," as starting points that you must review and adapt to your own situation. Laws differ by state and change over time. You are solely responsible for having a licensed attorney in your state review and adapt any template before you use or rely on it, and for ensuring that your agreements, pricing, fees, and collection practices comply with applicable law. Mechanics Alliance makes no warranty, express or implied, that any resource or template is accurate, current, complete, or suitable for your purpose.
10. Limitation of Liability and Indemnification
Mechanics Alliance provides information, resources, and community services for educational and professional development purposes. To the maximum extent permitted by law, we are not liable for:
- Your use of, or reliance on, any guide, resource, document template, form, or letter provided by Mechanics Alliance
- Business, legal, financial, or pricing decisions made based on Mechanics Alliance resources or guides
- The services, work, or conduct of any member, including work performed for their own customers
- Quality of work performed by members listed in our directory
- Disputes between members, or between members and their customers
- Third-party products or services offered through vendor partners
To the maximum extent permitted by law, the Alliance's total liability for any claim shall not exceed the amount you paid for membership in the 12 months preceding the claim, and Mechanics Alliance shall not be liable for indirect, incidental, or consequential damages. You agree to indemnify and hold Mechanics Alliance harmless from any claims, damages, or costs arising out of your use of any resource or template or out of the services you provide to your own customers.
11. Termination
Mechanics Alliance reserves the right to suspend or terminate your account if you violate these Terms, engage in conduct harmful to other members, or for any reason with 30 days written notice. You may terminate your account at any time by contacting us.
12. Governing Law
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Dallas County, Texas.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated to members via email at least 30 days before they take effect. Continued use after changes constitutes acceptance.
